Welcome to Bullion Standard, Inc. (“Bullion Standard”, “we”, “us”, or “our”). We are privileged to be entrusted with serving you (“Customer”, “you”, or “your”). These Terms and Conditions and Market Loss Policy (collectively, the “Terms”) apply to your use of Bullion Standard, Inc.’s mobile application, website at bullionstandard.com, and social media pages (collectively, “Websites”), and govern all transactions, whether from Bullion Standard to you, or to Bullion Standard from you (collectively, the “Transactions”). You agree to be subject to certain obligations and to abide by and be bound by these Terms.

PLEASE READ THESE TERMS CAREFULLY. BY USING BULLION STANDARD’S WEBSITES AND BY ENTERING INTO ANY TRANSACTION WITH BULLION STANDARD, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE WITH ANY OF THESE TERMS, DO NOT USE THE BULLION STANDARD WEBSITES AND DO NOT TRANSACT ANY BUSINESS WITH BULLION STANDARD.

Bullion Standard has the right, but not the obligation, to take any of the following actions without providing any prior notice to you:

Change or terminate all or any part of our Websites;
Restrict or terminate your access to all or any part of our Websites and prevent you from conducting any Transactions; or
Refuse, move, or remove any content that is available on the Websites.

Basic Terms

You must be at least 18 years old to use the Websites or conduct Transactions.
You are responsible for any activity that occurs through your account, and you agree you will not sell, transfer, license, or assign your account, username, or any account rights.
With the exception of people or businesses that are expressly authorized to create accounts on your behalf, Bullion Standard prohibits the creation of, and you agree that you will not create an account for, anyone other than yourself.
You represent that all information you provide or provided to Bullion Standard upon registration and at all other times will be true, accurate, current, and complete, and you agree to update your information as necessary to maintain its truth and accuracy.
You agree that you will not solicit, collect, or use the login credentials of any other user, including, but not limited to the password or account of other users.
You acknowledge that you are solely responsible for maintaining the confidentiality of your password and account. You agree to: (i) notify Bullion Standard immediately of any unauthorized use of your password or account or any breach of security, and (ii) ensure that you fully exit from your account at the end of each session. Bullion Standard cannot and will not be liable for any loss or damage arising from your failure to comply with this provision.
You may not use the Websites for any illegal or unauthorized purpose. You agree to comply with all laws, rules, and regulations (e.g., federal, state, local, and provincial) applicable to your use of the Websites, Transactions, and your User Content (as defined below), including, but not limited to, privacy, copyright, and trademark laws.
You are solely responsible for your conduct and any data, text, files, information, your username, images, graphics, photos, profiles, audio and video clips, and any other content or materials (collectively, “User Content”) that you submit, post, or display on or via the Websites.
You may not post any User Content that is not owned by you.

Access to Bullion Standard’s Websites

Bullion Standard is providing you with the information and functionality in the Websites. You are responsible for providing all equipment necessary to establish a connection to the Internet, access to the Internet, and any telephone, wireless, or other connection and service fees associated with such access. You must be 18 years of age or older to register for and/or use the Websites. If you do not qualify, please do not use the Websites. Bullion Standard reserves the right to deny access and/or registration to the Websites to anyone at any time in its sole and absolute discretion.

Privacy

The terms and conditions of Bullion Standard’s Privacy Policy are located at https://www.bullionstandard.com/privacy and are incorporated herein by reference. In the event of a conflict between the terms of this document and the Privacy Policy, the terms of the Privacy Policy will govern.
Buying from Bullion Standard

General Buying Terms

You acknowledge that when you order from Standard Bullion, you are legally obligated to pay for the items. Once a Sale Confirmation (as defined below) is issued, prices are guaranteed for up to five (5) business days. Payment must be initiated within one (1) business day and received by Bullion Standard within five (5) business days.

There is no minimum purchase amount for products shipped domestically within the United States.
For all orders that are paid with paper check or wire transfer, Bullion Standard requires a 5% pre-authorization credit card deposit at checkout to guarantee the price and to enforce our Market Loss Policy, if Market Loss (as defined below) and/or cancellation fees apply. This temporary hold will be voided upon us receiving your payment in full.
All International orders shipping outside of the United States have a $500 (USD) minimum and must be made over the telephone by calling us at (833) BST-GOLD (278-4653).
International orders require a 5% pre-authorization credit card deposit at checkout. This temporary hold will be voided upon us receiving your payment in full.
For all credit card and/or PayPal orders, the shipping address must match the billing address.
Failure to timely pay Bullion Standard may result in cancellation of your order and you may be liable to Bullion Standard for any Market Loss and/or cancellation fees.
For orders larger than $150,000, we recommend calling us at (833) BST-GOLD (278-4653).
For very large orders, Bullion Standard reserves the right to require a 3% wire transfer deposit in our sole discretion.
We reserve the right to cancel any order at any time that we believe to be suspicious in Bullion Standard’s sole discretion, and to request government issued identification and/or telephone confirmation to verify a Customer’s identity.
Orders cannot be changed or modified once placed and are subject to our Market Loss Policy. Please review your order closely before completing to ensure you have the right product.
To avoid any risk of default and to secure the price confirmed at the time of your order, we strongly advise sending your payment immediately upon completing your Transaction with Bullion Standard.

Payment Methods Accepted

Bullion Standard accepts payments only in United States Dollars (USD). Payment instructions will be provided to you when placing your order and again by email confirmation, including instructions for paper checks and wire payments, if applicable.

Subject to the limits in the table below, for orders placed in and shipping to the United States, Bullion Standard accepts Visa, Mastercard, American Express, Discover, PayPal, eChecks, personal checks mailed with a tracking number, certified cashier’s checks mailed with a tracking number, bank issued checks mailed with a tracking number, cryptocurrency, and wire transfers. All International Transactions must be paid by wire transfer.

Orders paid by credit card and PayPal are an item’s full list price and receive no discount; orders paid by cryptocurrency may receive a 3% cryptocurrency discount from an item’s full list price; orders paid by eCheck, paper checks, and wire transfers may receive a 4% discount from an item’s full list price. Such discounts are displayed in the product listings if available.

Bullion Standard may wait to ship your order pending clearance of your payment. This may take between five (5) to ten (10) business days, or longer, depending on your bank’s level of cooperation and internal procedures or policies. Credit card payments in any amount are subject to review by Bullion Standard. Bullion Standard may, in its sole discretion, request additional documentation from you, including but not limited to, government issued identification and/or telephone confirmation. Bullion Standard has the right to refuse any credit card payment in its sole discretion.

Price Guarantee and Payment Obligations

Once a Sale Confirmation has been issued, the price of the products in your order are locked in for up to five (5) business days. If payment is not received by Bullion Standard within the timeframes below, your order may be cancelled and Market Loss and/or cancellation fees (if applicable) will be assessed.

International Orders

All International Transactions require a $500.00 USD minimum, must be made by telephone, and require a 5% pre-authorization credit card deposit at checkout. All International Transactions must be made by wire transfer. Shipping costs will be calculated at the time of ordering.

Bullion Standard will declare the full value of your order on all customs forms, with no exceptions. You may be subject to taxes and/or duties for your order. You agree to pay all duties and taxes upon delivery. Consult your local customs broker for more information prior to placing an order.

If your order is returned to us because you refuse to pay duties and/or taxes, or the carrier was unable to deliver your order, you are responsible for all costs incurred by Bullion Standard, including, but not limited to, return shipping fees, and duties and/or taxes. We will not reship your order until all such costs have been paid to Bullion Standard. Returned or cancelled orders are subject to our Market Loss Policy.

Acknowledgement of Risk

Investing in coins and bullion involves risk, as with all investments. The value of coins and bullion fluctuates with volatility and is affected by many economic factors outside Bullion Standard’s control. Such factors include, but are not limited to, perceived scarcity in the market, product quality, current demand, and general market sentiment.

Coins and bullion can go down in price as well as up, and investing in them may not be suitable for everyone. Because all investments, including coins and bullion, can decline in value, you should understand them well, and have adequate cash reserves and disposable income before considering a bullion or coin investment. Please consult your financial advisor before investing in bullion and/or coins.

Bullion Standard guarantees that every item it sells is genuine, and that all precious metal items contain the weight, fineness, and purity advertised. However, like other investments, the precious metals market is speculative, and is unregulated. The value of any bullion item is usually determined by the current spot price of the underlying precious metal, and by the market supply and demand. Such prices fluctuate throughout the day while the precious metals market is open. If you are considering making an investment, you should assess the stability of the current market and contact your financial advisor prior to purchasing precious metals. Bullion Standard is not a registered financial advisor and cannot provide individual investment advice.

Typographical Errors

Bullion Standard works diligently to create and ensure accurate product listings. Even so, pricing or typographical errors may occur. If an item is listed at an incorrect list price or with incorrect information due to an error in pricing or product information, Bullion Standard shall have the right, in its sole discretion, to refuse or cancel any orders placed by you for that item. Bullion Standard will notify you of such cancellation. Prices and availability are subject to change without notice. If a refund is provided, or there is any delay in sending you your products or your payment, as the case may be, you waive any right to any claim or actual damages of any kind or nature whatsoever.

Shipping

Shipping within the United States is free for all orders of $10,000.00 (USD) and above. For orders shipped within the United States under $10,000.00 (USD), shipping is $23.97. Shipping quotes for International Orders can be obtained on a per order basis.

To provide you with the fastest shipping possible, your order will be shipped, at our discretion, by UPS, FedEx, USPS, or another common carrier. Your order may be shipped in multiple packages, and these could be sent out on the same day or on different days, and from any of our locations. Bullion Standard aims to ship your order in the safest and most efficient manner, while also minimizing costs. We will provide you with ongoing shipping updates throughout the delivery process. It is our general practice to ship heavier silver orders via UPS Ground, while gold, platinum, palladium, and rhodium orders will be expedited through UPS 2nd Day Air or UPS Next Day Air Saver services, but we reserve the right to adjust these practices based on the specifics of your particular order. You will receive an email confirmation of shipping with a tracking number(s). Note that in some cases it may take up to 48 hours for tracking to update with the carrier. All shipments are packaged inconspicuously and will never reference our company name or anything referring to items of value, such as gold, silver, bullion, etc.

We strive to ship promptly and in accordance with the timeframes below.

For all orders paid with a credit card and/or PayPal, the shipping address must match the billing address. Failure to provide Bullion Standard with a valid shipping address may result in cancellation of your order and the assessment of Market Loss fees and/or cancellation fees (if applicable).

A signature upon delivery is required on all packages with a sale value of $250 or higher.

Shipping Insurance

Bullion Standard insures all its shipments to you while in transit for the sale value of the enclosed product. Should anything happen while your package is in transit to you, it will be covered by our insurance policy, subject to the following limitations:

Notify us immediately if you believe your package is lost in transit.

- Lost in Transit is defined for the USPS as tracking not having been updated in seven (7) or more business days; Lost in Transit is defined by UPS and FedEx as tracking not having been updated in three (3) or more business days.

- You must contact us within seven (7) business days of the most recent tracking for USPS and three (3) business days of most recent tracking for UPS and FedEx.
- If you do not contact us by these timeframes, insurance coverage will cease, and neither Bullion Standard, nor its insurance company, nor carrier, will have any liability to you.

Notify us immediately if your package is damaged in transit or has missing, incorrect, or damaged items.

- Any and all packaging materials must be retained as you received them.

- Failure to notify us of issues with your package within two (2) calendar days of the delivery timestamp of the carrier will result in a rejection of your insurance claim, and neither Bullion Standard, nor its insurance company, nor carrier, will have any liability to you.

Neither Bullion Standard nor its insurance company accepts (and hereby expressly disclaim) all responsibility if you have left instructions with any carrier or delivery service to leave parcels for you without the need for your signature.

Neither Bullion Standard nor its insurance company, accepts (and hereby expressly disclaim) all responsibility if you have given any carrier or delivery service instructions to leave your package with someone else, such as a building manager, neighbor, or a drop-off location, such as mail boxes, USPS PO Box, the UPS Store, or similar third party drop off locations. In any such case, your package will not be covered for insurance by Bullion Standard nor its insurance carrier.

If you do not receive the package directly from the common carrier, you agree to take all reasonable actions to assist in recovery of the package, including but not limited to filling out reports, affidavits, and/or police reports, and providing all information needed or that may be requested to assist in recovery of the package. If you do not fully cooperate in all recovery and/or investigative efforts, neither Bullion Standard, nor its insurance company, nor carrier, will have any liability to you.

In addition, if the carrier returns the package to us due to no one being available to receive your package, we will not accept responsibility if something goes wrong in the return to sender process. This includes the package not making it back to our distribution center, damage, missing contents, etc. Additionally, we will not assume responsibility for packages that are forwarded, signed for by apartment or building complex management, a business mailroom, the Military Postal Service Agency, or any person(s) that is not the addressee listed on the order. Please be sure to be available to receive your package at the destination address on the expected delivery date. In the unlikely event that a package has not been delivered, we will not be able to refund or reship the purchased product until the appropriate carrier has notified us in writing that the package has been declared lost and/or stolen.

If your order is lost or damaged in transit, Bullion Standard will pursue any claim with the insurance company. Once a claim is filed, Bullion Standard reserves the right to re-ship your items or refund your money in its sole discretion, and Bullion Standard shall have no further responsibility or liability to you. If there is any disruption in the delivery of a package to you, you agree to cooperate in any investigation or claim process and to take every reasonable action requested of you by Bullion Standard in the process. Failure to fully cooperate will cease coverage that may be provided to you.

Bullion Standard is not responsible for any reimbursements or insurance claims on packages that are successfully delivered as addressed. Our liability and insurance coverage cease the moment the package is signed for or left at the specified delivery address.
If you believe your package has been lost or stolen, it is extremely important that you contact Bullion Standard immediately.

Back Orders

Occasionally, a product listed on our Websites may be unavailable. If this occurs, Bullion Standard reserves the right to delay shipping of your order for up to thirty (30) calendar days from your expected shipping date, or up to the number of days provided on the backordered product page. Provided you have complied with these Terms, the price advertised is secured. If Bullion Standard, in its discretion, issues a refund, you waive any right to any claim or damages of any kind or nature whatsoever.

Cancellations of Orders

When you place an order with Bullion Standard, you are entering into a legally binding agreement, and you have the legal obligation to pay for your order. If you fail to make timely payment, Bullion Standard may cancel your order and charge you a cancellation fee equal to $50 or 5% of the order total amount, and a Market Loss fee pursuant to our Market Loss Policy (if applicable).

We also reserve the right to cancel your order and impose Market Loss fees (if applicable) and/or cancellation fees if you: (1) do not confirm your identity when requested by Bullion Standard; (2) do not provide accurate shipping information; (3) if your shipping address does not match your billing address, when required; or (4) in Bullion Standard’s sole discretion.

We will notify you upon cancellation of your order if you are responsible for Market Loss and/or cancellation fees. You agree to bear full responsibility and liability to Bullion Standard for any Market Loss and/or cancellation fees, and to immediately remit good funds covering any such losses and/or fees upon notification. You further authorize Bullion Standard to use the credit card you used to secure your order to charge Market Loss and/or cancellation fees to.

All future orders will be held for shipment until you have paid all outstanding Market Loss and/or cancellation fees in full.

Returns, Exchanges, and Refunds

Your satisfaction is guaranteed at Bullion Standard. We provide all our Customers with a refund, return, or exchange on everything we sell, including all bullion and numismatic products.

If you wish to return or exchange any product, you must notify us within seven (7) calendar days from the date on which you received the product(s). Please notify our customer service team by email at support@bullionstandard.com or by telephone at (833) BST-GOLD (278-4653) during normal business hours. All item(s) must be kept in its original packaging and free from damage or defects.

Bullion Standard will provide you with detailed instructions for returning your items and will issue a Return Merchandise Authorization (RMA) number at that time. For returns, you must carefully package the item(s) and you are responsible for the cost of return shipping. On returning and exchanging bullion related item(s), the Customer may (at Bullion Standard's discretion) be required to pay for any Market Loss on their returns, in accordance with our Market Loss policy. Any Market Gain (as defined below) on refunds shall remain the property of Bullion Standard.

Refunds for returns are not processed until after the returned item(s) has been received and verified by Bullion Standard. Exchanges are not processed until after the returned item(s) has been received and verified by Bullion Standard. If a refund is requested, we reserve the right to find an acceptable replacement or refund your money if an acceptable replacement is not available.

Shipping and handling charges are non-refundable. Bullion Standard reserves the right to charge a restocking fee of $50 or 10% of the total order price (whichever is greater) on all refunded orders, as well as charge a processing fee of $50 or 10% of the total order price (whichever is greater) on all exchanges.

Refunds for cryptocurrency Transactions are facilitated through BitPay at the prevailing USD exchange rate during the refund process. Please note that any fluctuations in cryptocurrency exchange rates at the time of refund are beyond Bullion Standard's responsibility.

Bullion Standard reserves the right, at its sole discretion, to reject any return that does not comply with these requirements, and/or reject any fraudulent return. You are responsible for return shipping expenses in any case of a fraudulent return.

Bullion Standard prioritizes your satisfaction above all else. Should you encounter any issues with your purchase, we encourage you to reach out to our customer service team. We are here to listen, assist, and ensure that your experience with us exceeds your expectations. Market Loss Policy
When you purchase from Bullion Standard, we will issue a confirmation number ("Sale Confirmation"). When you sell to Bullion Standard, we will issue a Purchase Order (“Purchase Order”). Upon issuance of a Sale Confirmation or Purchase Order, you have a legally binding contract with Bullion Standard and the Transaction price is locked in. At that time, any and all corresponding market risk is transferred to you immediately. If you default in your performance of payment, shipment, or any other act required by you, we may cancel the Transaction. If your Transaction is cancelled, you agree that you have full responsibility and are liable to Bullion Standard for any change in the value of the product’s fair market value that results in a loss to Bullion Standard (“Market Loss”).

For example, where the sales price of the product on the Sale Confirmation is greater than the fair market value at the time of cancellation, you will be liable to Bullion Standard for the difference (i.e., Market Loss), plus the greater of $50 or 5% of the order total amount. You must also pay, and have full responsibility and liability to, Bullion Standard for all fees and costs associated with Bullion Standard’s efforts in collecting from you, including, but not limited to, its reasonable attorney’s fees. You agree that any change in the fair market value that results in a market gain (“Market Gain”) on cancelled Sale Confirmations or Purchase Orders shall benefit and remain the property of Bullion Standard, and Bullion Standard shall have no responsibility to you for any Market Gain. Bullion Standard reserves the right to cancel any order at any time and for any reason.
Selling to Bullion Standard

General Selling Terms

As a two-way retailer buying and selling coins and bullion, Bullion Standard offers fiercely competitive purchase rates for your coins and bullion, subject to these Terms and as outlined below.

Through the “Sell to us” section of our Websites, you can create an order to sell to Bullion Standard. Bullion Standard will confirm its acceptance of your offer to sell products by issuing to you a confirmation in the form of a Purchase Order. You acknowledge that initiating a Purchase Order constitutes a legal offer to Bullion Standard. Once the Purchase Order is issued, cancellation is not permitted, and you are legally obligated to deliver the agreed-upon quality and quantity of products indicated in the Purchase Order. Purchase Orders may not be modified in any way and are subject to our Market Loss Policy.

When selling to Bullion Standard, the minimum purchase amount is $1,000 (USD). Certain item quantity minimums and maximums may also apply, depending on our inventory position.
You will receive detailed shipping instructions on the Purchase Order confirmation page and again by email.
Bullion Standard is not obligated to pay for any product that does not meet the quality, quantity, or is otherwise not in conformance with the characteristics of the item as represented to Bullion Standard (“Non-Conforming Product”).
Upon receipt, if Bullion Standard determines an item is a Non-Conforming Product, Bullion Standard shall return the item to you, at your cost, and Bullion Standard will have no further liability or responsibility to you whatsoever.
All Purchase Orders require a 5% pre-authorization credit card deposit at checkout to guarantee the price and to enforce our Market Loss Policy, if Market Loss and/or cancellation fees apply. This temporary hold will be voided upon successful receipt of your items.
To avoid any risk of default and to secure the price confirmed at the time of your Purchase Order, we strongly advise sending your items immediately upon completing your Transaction with Bullion Standard.

Bullion Standard reserves the right to cancel or rescind any Purchase Order at any time and for any reason. Until Bullion Standard takes physical custody and control of the Product(s) specified in the Purchase Order, all risk of loss in the Transaction remains with you.

Bullion Standard may cancel and rescind your Purchase Order if:

You fail to provide Bullion Standard with a shipping tracking number within one (1) business day following issuance of the Purchase Order by notifying our customer service team by email at support@bullionstandard.com or by telephone at (833) BST-GOLD (278-4653) during normal business hours;
If Bullion Standard does not receive the products identified in the Purchase Order within five (5) business days following issuance of the Purchase Order;
- If you provide the required tracking number and there is a delay in delivery due to USPS, UPS, or FedEx, Bullion Standard may, at its discretion, extend the deadline on a case-by-case basis.
If the products received do not meet the agreed quality standards of weight, fineness, and purity advertised, or quantity, or for other Non-Conforming Product issues;
If the products are counterfeit or the Purchase Order is otherwise fraudulent; and/or
If you fail to abide by these Terms.

In the event Bullion Standard cancels or otherwise rescinds its Purchase Order, you agree to be liable to and promptly remit any Market Loss incurred by Bullion Standard based on the agreed upon price at the time of acceptance of the Purchase Order. This obligation is outlined in our Market Loss Policy. Additionally, in Bullion Standard’s sole discretion, you may be restricted from future Transactions with Bullion Standard.

Paying You for Your Purchase Order

Upon Bullion Standard’s receipt of the package containing your Purchase Order items, and upon us confirming the quality, quantity, and accuracy of the Transaction, Bullion Standard will typically issue payment within 1 to 5 business days. You have the flexibility to choose from the following payment methods that best suit your preferences:

Check sent via USPS first-class mail
Check sent via UPS Overnight ($25 USD fee for orders less than $7,500)
Bank wire ($25.00 USD fee for orders less than $7,500)
ACH Direct Deposit

Cancellation of Purchase Orders

Once Bullion Standard has issued a Purchase Order: (a) all prices are locked-in, and (b) a binding contract is established between you and Bullion Standard. This ensures you are aware of your exact price at the time of your Purchase Order confirmation. You acknowledge and agree to take all market risk at the time the Purchase Order is issued. You do not have the right to cancel Purchase Order(s). However, if you default in fulfilling your obligations related to shipment, quality, quantity, or any other aspect required to complete your Purchase Order Transaction, we reserve the right to cancel your Purchase Order(s). Bullion Standard retains the discretion to cancel any Purchase Order at any time and for any reason.

Cancellations of a Purchase Order are subject to Bullion Standard’s Market Loss Policy plus a fee of either $50 or 5% of the total order amount, whichever is greater. We will notify you upon cancellation of the Purchase Order if there is a Market Loss and/or cancellation fee. You agree to bear full responsibility and liability to Bullion Standard for any Market Loss, and/or cancellation fee and to immediately remit good funds covering any such fees and/or losses upon notification. You further authorize Bullion Standard to use the credit card you used to secure your Purchase Order to charge Market Loss and/or cancellation fees to.

No future orders from you will be accepted until any outstanding Market Loss and/or cancellation fees have been fully paid. Any Market Gain on Purchase Order cancellations remains the property of Bullion Standard.
General Terms

Fraud

As a seller of high-value items, Bullion Standard recognizes its heightened susceptibility to online fraud and confronts this with paramount seriousness. We reserve the right, in our sole discretion, to report and prosecute actual and suspected fraud. If we suspect fraud, we may, in our discretion, require further information from you, such as a telephone confirmation of your order, proof of your identity, and/or other information. Bullion Standard reserves the right to cancel, delay, refuse to ship, or recall from the shipper any order if fraud is suspected. Any information we have collected during your use of the Websites and/or in connection with any Transaction may be used to locate, identify, and report fraud to local and/or federal authorities. Bullion Standard reserves the right to cooperate with any request by a bank, credit card issuer, or law enforcement agency without a subpoena. We fully reserve the right to cooperate with local and/or federal authorities investigating and prosecuting fraud. Bullion Standard will never ask you to purchase precious metals on behalf of any third party, or at the direction of government agencies, financial institutions, or technical support services. We are not affiliated with any such entities, and any such claim is fraudulent. If you are instructed by anyone to purchase metals, including but not limited to, as part of coercion, or as part of an "account protection" strategy, stop immediately and report the incident to the FBI. You may refer to the FBI's official alert on these at: https://www.ic3.gov/PSA/2024/PSA240129. Customers over the age of 60, or their family members, are encouraged to contact the DOJ Elder Justice Hotline at (833) 372-8311 for assistance. Bullion Standard reserves the right to delay or cancel any order where coercion, undue influence, or third-party fraud is suspected. In such cases, you may be required to sign a Hold Harmless and Attestation of Free Will Agreement and provide a valid government-issued ID before your order is processed or shipped.

Use of Interactive Areas

The Websites may allow you to submit User Content. The Websites may also contain areas that allow for user interaction (“Interactive Areas”). You are entirely responsible for all User Content that you upload, post, email or otherwise transmit via the Websites. You agree to only transmit User Content and information that is proper, lawful, and related to the particular Interactive Areas. In addition, but without limitation, you may not transmit User Content or engage in any other activity through the Websites that:

Defames, threatens, abuses, or otherwise violates the legal rights of others;
Is harmful to children, profane, obscene, indecent, or racially or ethnically offensive;

Disrupts or otherwise interferes with the Websites or the networks or servers used by Bullion Standard;
Impersonates any person or entity or misrepresents your connection or affiliation with a person or entity; or
Constitutes illegal activity.

Bullion Standard reserves the right (but is not obligated) to review, edit, or delete any User Content you post to the Websites and to terminate your access to the Websites or to any Interactive Area at any time without notice for any reason whatsoever.

Submissions to Interactive Areas and Licensing of User Content

You acknowledge that any information or User Content you post to an Interactive Area may be viewed by others. Bullion Standard does not endorse or control the content, messages or information transmitted through any Interactive Area and, therefore, Bullion Standard specifically disclaims any liability with regard to the Interactive Areas and any actions resulting from your participation in them. You represent and warrant that: (i) you own the User Content posted by you on or through the Websites or otherwise have the right to grant the rights and licenses set forth in these Terms; (ii) the posting and use of your User Content on or through the Websites does not violate, misappropriate or infringe on the rights of any third party, including, without limitation, privacy rights, publicity rights, copyrights, trademark and/or other intellectual property rights; and (iii) you have the legal right and capacity to enter into these Terms in your jurisdiction.

Excluding any personal information governed by Bullion Standard’s Privacy Policy, if you submit, post or upload any User Content to the Websites or if you submit any business information, idea, concept or invention to Bullion Standard via the Websites, you automatically grant, or warrant that the owner of such User Content or intellectual property has expressly granted, Bullion Standard a royalty-free, fully paid-up, perpetual, irrevocable, world-wide, nonexclusive license to use, copy, process, adapt, transmit, reproduce, create derivative works from, modify, publish, edit, translate, distribute, perform, display and sublicense the User Content and Metadata relating to the User Content in any media or medium, or any form, format, or forum now known or hereafter developed (the “License”). You agree that this License includes the right for Bullion Standard to make such User Content available to other companies, organizations, or individuals who partner with Bullion Standard for the syndication, broadcast, distribution, or publication of such User Content on other media and services, subject to these Terms regarding User Content use. If you wish to keep any User Content, information, Metadata, ideas, concepts, or inventions private or proprietary, do not post or submit them to the Interactive Areas, Bullion Standard, or the Websites. You agree that in the event Bullion Standard receives any royalties, compensation, or other payments associated with exercising the rights granted to it under the License, you shall not claim any right to any portion of such royalties, compensation, or other payments. You further agree that Bullion Standard may, in its sole discretion, use any User Content for which it has a License in a manner that may link to, refer to, or reference your name, such as use of your User Content on the Websites or an affiliated or partner website.

You acknowledge and agree that Bullion Standard may archive, preserve, store, or use any User Content and Metadata you submit, post or upload to the Websites, when permitted by law. You further acknowledge that Bullion Standard may also disclose that User Content and Metadata if required to do so by law or in the good faith belief that such preservation or disclosure is reasonably necessary to: (i) comply with legal process; (ii) enforce these Terms; (iii) respond to claims that any User Content or Metadata violates the rights of third-parties; or (iv) protect the rights, property, or personal safety of Bullion Standard, the Websites, its users, and the public.

Relationship of the Parties

You acknowledge and agree that the sole relationship between you and Bullion Standard is that of buyer and seller. No other relationship, including, without limitation, any agent-principal relationship, employee-employer relationship, franchisee-franchisor relationship, any joint venture relationship, or any partnership between Bullion Standard and you exist.

Force Majeure

If Bullion Standard cannot perform any obligation hereunder as a result of any event that is beyond its control, Bullion Standard’s delay or failure to perform such obligation shall be excused and Bullion Standard shall not be liable for any damages as a result of, or in connection with, such delay or such failure.

Governing Law and Venue

You and Bullion Standard agree that the Terms and the relationship between you and Bullion Standard shall be governed by and construed in accordance with the laws of the State of California without regard to its conflict of laws analysis. You and Bullion Standard hereby irrevocably and unconditionally submit to the jurisdiction of courts located within the county of San Diego, California. Any and all legal proceedings arising out of or relating to the Terms shall be brought in California and you agree not to commence any legal proceedings related thereto except in such court. You and Bullion Standard irrevocably waive, to the fullest extent permitted by law, any objection that you/it may now or hereafter have to the laying of the venue of any proceeding brought in any such court or any claim that a legal proceeding commenced in such court has been brought in an inconvenient forum.

Translations

These Terms were written in English (United States). To the extent any translated version of these Terms conflicts with the English version, the English version controls.

Waiver

Bullion Standard’s failure to exercise or enforce any right or provision of the Terms shall not constitute a waiver of such right or provision unless acknowledged and agreed to by Bullion Standard in writing.

Severability

If any provision of these Terms is held to be illegal, invalid, or unenforceable under any present or future laws, such provision shall be fully severable, and the remaining provisions shall constitute the parties’ agreement.

Time Limitation

You agree that regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to your relationship with Bullion Standard, these Terms, use of the Websites, or any Transaction, must be filed within two (2) years after such claim or cause of action arose; otherwise, your claim is permanently and forever barred.

Time is of the Essence

Time is of the essence with respect to performance of all your duties, obligations, and liabilities under these Terms.
